01 — Agreement
These Terms & Conditions (“Terms”) govern the relationship between instabiz (“Service Provider,” “we,” “us”) and any business or individual (“Client,” “you”) that engages instabiz for digital services.
By subscribing to any instabiz plan, signing a service agreement, making a payment, or otherwise commencing services, you agree to be bound by these Terms. If you do not agree, please do not proceed with the engagement.
These Terms apply to all services offered by instabiz, including but not limited to: website setup and management, local SEO, Google Business Profile management, and digital ad management.
02 — Services
Scope of Services
The specific services included in your engagement are defined in the service plan or agreement communicated at the time of onboarding. Standard offerings include one or more of the following:
- Website Setup & Management: WordPress-based website design, development, hosting coordination, plugin management, and content updates
- Local SEO: Google Business Profile optimisation, local citation building, keyword targeting for local search, review generation strategy, and monthly reporting
- Digital Ad Management: Campaign setup, creative briefing, audience targeting, budget management, and performance reporting on Google Ads and/or Meta Ads
- Bundled Plans: Combinations of the above at package pricing
Service Commencement
Services begin after receipt of payment and completion of the onboarding process. We target a start within 5–7 business days of payment confirmation, subject to timely access and information being provided by the client.
Modifications to Scope
Any changes to the agreed scope must be requested in writing and may result in a revised plan, additional charges, or adjusted timelines. We will confirm all scope changes before executing them.
03 — Onboarding & Platform Access
To deliver services effectively, we require access to certain platforms and information. You agree to provide:
- Google Business Profile Manager access (we will request access via the platform — you retain ownership)
- Google Ads account access (Manager link, not primary ownership transfer)
- Meta Business Manager access for ad management
- Website hosting credentials or admin access as applicable
- Business content: photos, service descriptions, operating hours, contact details
Delays in providing access will proportionally delay the start of services. We are not liable for timeline shifts caused by delayed onboarding on the client’s part.
All access credentials are handled with strict confidentiality and revoked upon contract termination. We will never request primary email account passwords and will use platform-level delegated access wherever possible.
04 — Payment Terms
Retainer Model
Services are billed on a monthly retainer basis. The retainer is due in advance at the start of each billing cycle. Work for a given month does not commence until payment for that month is confirmed.
Billing
- Invoices are issued at the start of each billing cycle.
- Payment is due within 3 business days of invoice issuance.
- Accepted payment methods: bank transfer (NEFT/IMPS), UPI, Razorpay link.
Late Payment
If payment is not received within 5 business days of the due date, we reserve the right to pause active services (ad campaigns, content updates, etc.) without notice. Services will resume upon payment confirmation. Paused periods are not credited or refunded.
Ad Spend
Ad budgets (Google Ads, Meta Ads) are separate from the management retainer and are the client’s responsibility to fund directly on the respective platforms. We manage the campaigns; we do not advance or front ad spend.
Price Changes
We will provide 30 days’ written notice of any retainer price changes. Continued subscription after this period constitutes acceptance of the new pricing.
05 — Client Obligations
You agree to:
- Provide accurate and truthful business information for use in SEO, ads, and website content
- Respond to requests for content, approvals, or clarifications within 5 business days
- Ensure your business, products, and services comply with applicable Indian laws and platform policies (Google, Meta)
- Not engage another agency to work on the same channels under management without informing us, as conflicting changes can cause service degradation
- Notify us promptly of significant changes to your business (location, hours, services, rebranding)
We are not liable for poor outcomes resulting from inaccurate information provided by the client, or from changes made to managed accounts without our knowledge.
06 — Intellectual Property
Client Content
All content, images, and materials you provide to us remain your property. You grant us a non-exclusive licence to use this content for the purpose of delivering the agreed services.
Deliverables
Upon full payment of all amounts due, ownership of the following passes to you:
- Website design and content created for your project
- Ad creatives produced for your campaigns
- Reports and audit documents prepared on your behalf
Our Tools & Methods
Our internal processes, templates, SOPs, proprietary checklists, and systems remain exclusively our property. Engaging instabiz does not grant you any rights to these underlying methods.
Google & Meta Assets
Your Google Business Profile, Google Ads account, and Meta Business assets remain your property at all times. We manage them on your behalf; we do not claim ownership of any platform assets created in your name.
07 — Results Disclaimer
Digital marketing outcomes — search rankings, ad performance, lead volume, website traffic — depend on a combination of our work, your business quality, market competition, platform algorithms, and factors outside anyone’s control.
We do not guarantee specific results including:
- A particular ranking on Google Search or Google Maps
- A specific number of leads, calls, or enquiries
- A defined return on ad spend (ROAS)
- A specific volume of website traffic
We commit to applying our best expertise, following platform best practices, and working transparently with you. We provide monthly performance reports so you can evaluate progress. If performance is consistently below expectations, we will discuss and adjust our approach — but results cannot be contractually guaranteed.
08 — Limitation of Liability
To the maximum extent permitted under applicable law:
- instabiz’s total liability to you for any claim arising out of or related to these Terms or the services shall not exceed the total retainer fees paid by you in the three months preceding the claim.
- We are not liable for indirect, consequential, or incidental losses including lost profits, lost business, or reputational damage.
- We are not liable for losses arising from platform policy changes by Google, Meta, or any third-party service provider.
- We are not responsible for data loss on third-party platforms (hosting providers, Google, Meta) outside our direct control.
Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under Indian law.
09 — Termination
By You
You may cancel your retainer at any time with written notice. Please refer to our Refund Policy for the notice period and billing implications. After termination, we will:
- Complete any work in progress for the current billing cycle
- Transfer all deliverables, files, and assets belonging to you
- Remove our access from all managed platforms
- Provide a final performance summary
By Us
We reserve the right to terminate the engagement with 14 days’ written notice if:
- Payment remains outstanding beyond 14 days of the due date
- You ask us to undertake activities that violate platform policies, Indian law, or our own ethical standards
- The working relationship has broken down irreparably
In the event of termination by us (other than for non-payment or policy violations), we will refund any unused portion of the prepaid retainer on a pro-rata basis.
10 — Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement. This includes business strategy, pricing, customer data, performance data, and any proprietary information.
We will not share your business performance data, account details, or campaign information with any third party without your consent, except as required by law.
We may reference your business name as a client in our portfolio or case studies only with your prior written consent.
11 — Disputes & Governing Law
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith discussion between the parties.
If resolution cannot be reached within 30 days of a written dispute notice, the matter shall be subject to the jurisdiction of the courts of Ernakulam, Kerala, India.
12 — Changes to These Terms
We may update these Terms from time to time. We will notify active clients of material changes via email at least 14 days in advance. Continued engagement after that period constitutes acceptance of the updated Terms. The latest version is always available at instabiz.pro/terms.
